MCSI PARENT RESOURCE ASSOCIATION ORGANIZATIONAL BY-LAWS
ARTICLE I – ORGANIZATION
This organization shall be a private non-profit corporation.
The name of the organization shall be “MCSI Parent Resource Association,” hereinafter referred to as “the Association.” The Association is located at:

The Association is wholly independent from Marshall Middle School (MMS) and the Olympia School District, does not speak or act on behalf of the school or district, and in no way operates as a functional equivalent for any school services mandated by district policy or state law.
ARTICLE II – PURPOSE AND STRUCTURE
Section 1 – Mission and Objectives
The MCSI Parent Resource Association, supports the mission and objectives of the Marshall Citizen Science Institute (MCSI), an academic program offered through Marshall Middle School and the Olympia School District.
The Association facilitates the active participation of as many parents and guardians as possible in MCSI programs. Working closely with MCSI students, faculty, and MMS administration, the Association provides concentrated support for field studies and other off-campus activities. This includes, but is not limited to:
Section 2 – Budgets
Budgets are to be established at the beginning of each school year and approved in the September Board Meeting. MCSI faculty may submit to the Board a list of needs for the coming school year, prior to approval of the Budget.
Section 3 – Structure
The Association consists of the following bodies:
ARTICLE III – GENERAL MEMBERSHIP
Section 1 – General Memberships (Voting)
Parents and guardians of current MCSI students shall be general members in the Association.
Section 2 – General Membership Contributions
MCSI is not funded by the school district, so financial contributions from parents, guardians, or other benefactors are necessary to offset the costs of the program. General members are encouraged to make a voluntary contribution for each student, made at the beginning of each school year or in installments throughout the year. General Member contributions may be in the form of time, talent or money.
Section 3 – Consulting Memberships in the Association (Non-Voting)
Section 4 – Voting
Each general member shall have exactly one vote. Proxy votes are not allowed in elections. Consulting members are not allowed to vote in elections, but may serve to inform the general membership in electing officers.
Section 5 – Regular Meetings
Regular meetings of the Association’s general membership shall be held at least twice during the school year, thirty days’ notice having been given.
Section 2 – Special Meetings
Special meetings may be called by the Board, 10 days’ notice having been given.
Section 3 – Quorum
A quorum shall consist of not less than twenty-five members of the general membership, including not less than two-thirds of the Board. At times, due to other commitments of the members, it may not be reasonable to obtain a quorum. Under such circumstances, the attending members may contact members via phone or other means to obtain a quorum. If a quorum still cannot be obtained, the meeting must be rescheduled to such time when a quorum is possible.
ARTICLE IV – EXECUTIVE COMMITTEE
Section 1 - Officers and Duties
Executive officers shall be elected by the general membership. Executive officers shall consist of a President, Vice President, Treasurer, Secretary, Resource Officer, and two (2) At-Large Representatives. The duties of the Executive Committee shall be to transact emergency business defined as; necessary and immediate action wherein a meeting of the Board is not reasonably possible, in the interval between Board meetings. The Executive Committee may also convene an Executive Session and act to break a tie vote of the Board.
Executive Committee members are expected to attend all regularly scheduled Board meetings. Failure to attend two (2) or more regularly scheduled Board meetings may result in removal as an officer, subject to a 2/3 vote of the Board of Directors.
A minimum of two (2) members of the Executive Committee may disburse funds up to $200 without a vote of the full Board, one of those two (2) members being either the Treasurer or President.
A - President
It shall be the duty of the President to serve as liaison between the MMS administration, faculty, and Association membership. The President shall preside at all general membership, Executive Committee, and Board of Director meetings. The President shall sign all contracts and checks, subject to the approval of the Board, as well as be on the Bank account of the Association. The President shall have regular meetings with the school principal and MCSI faculty as determined by the Board.
B - Vice President
The Vice President shall act as President in the event of absence or incapacity and shall assume the duties of President during that time. If the President resigns or is no longer able to serve, the Vice President shall assume the duties of President for the
balance of the term until or unless replaced by the Board. The Vice President shall be responsible for other duties as assigned by the President.
C - Secretary
It shall be the duty of the Secretary to maintain the institutional memory of the Association; to compile and maintain members’ contact information, oversee maintenance of the MCSI website and social media, and keep a record or minutes of meetings. It shall also be the duty of the Secretary to compile and maintain a book or binder of desk procedures for incoming elected officers of the Association, to be preserved in a permanent and accessible form for ease of use.
Section D – Resource Officer
It shall be the duty of the Resource Officer to consult with MCSI faculty to obtain a list of needs for the coming school year to facilitate budget preparation. It shall be the duty of the Resource Officer to oversee the coordination of faculty needs and available resources. Resources may include member time, money, community goods and services, or grants, and reports to the Board on the status of ongoing activities. The Resource Officer should coordinate with the Fundraising Coordinator as needed.
Section E - Treasurer
It shall be the duty of the Treasurer to receive all monies due to the Association and deposit same in a place approved by the Association. The Treasurer shall disburse Association funds only for purposes approved by the Board, consistent with the mission and objectives of the Association. Two (2) signatures shall be required, the President and Treasurer, for distribution of funds. The Treasurer shall present a statement of account at all regular meetings of the Board and at other times when requested by the President, and shall make a full report at the year-end meeting of the general membership. The accounts of the Treasurer may be audited by a committee or independent professional approved by the Board.
Section F – At-Large Representative (minimum of 2)
It shall be the duty of the Representatives At-Large to represent the general interests of the membership, and to lead other special projects as assigned by the Executive Board. Each representative shall be assigned to work with the Treasurer or Secretary according to their interests and talents. At least one of these representatives shall be a parent or guardian of a 6th grade MCSI student.
Section 2 - Election of Officers
Section 3 - Term
Elections for all executive officers are held annually, and each position shall serve for one year. Officers may run for re-election without restriction to the number of terms. The term of non-At- Large officers begins on the last day of the school year. The term of At-Large officers begins immediately following the meeting in which they are elected.
Section 4 - Eligibility
Only general members shall hold office or vote in elections.
Section 5 - Voting
When electing Executive Officers, the President, with the consent of the general members present, may call for election by voice vote.
If general members present favor a secret ballot, the duty of the executive committee shall be to pass out the ballots, collect the ballots, count them and read the final count to the Association. In the event there is more than one person nominated for any one office, whoever wins the majority of votes cast shall be deemed winner of the election. If a vote between three or more candidates does not result in a majority, a second vote shall be held between the two candidates with the most votes. In the event there is only one nominee for any particular office, the general members present may elect that person by unanimous consent (no objections). If unanimous consent is not achieved, there shall be an election by secret ballot containing the name of the person nominated and a space for write-in candidates. Whoever wins the most votes cast (plurality) shall be deemed winner.
Section 6 – Transfer of Officer Duties
Incoming and outgoing executive officers shall hold a joint session to ensure an effective transition of duties. At the joint session, the retiring officers shall transfer all books and papers in their possession and belonging to the Association to the new administration, and otherwise advise the new administration as to the status of affairs of the Association.
Section 7 – Removal of Officers
Executive Committee members are expected to attend all regularly scheduled Board meetings. Failure to attend two (2) or more regularly scheduled Board meetings may result in removal as an officer, subject to a 2/3 majority vote of the Board.
Section 8 – Replacement of Officers
In the event that a position becomes open (by removal or resignation) before an Officer’s term is over, replacements shall be sought from the General membership of the Association. In this case, a General Association meeting need not be called. Elections may be held at a Board Meeting, and the volunteer installed in the open position, by a majority vote of the Board.
Section 8 – Meetings
Meetings of the Executive Committee shall be held as needed.
Section 9 – Quorum
The majority of the Executive Committee shall constitute a quorum.
ARTICLE V – BOARD OF DIRECTORS
Section 1 – Members
The Board of Directors (Board) shall consist of the Executive Committee, Coordinators, the Principal or a representative of the Principal, and one (1) MCSI teacher. The Board shall establish Coordinator positions as described in Article IX
Section 2 – Duties
The duties of the Board shall be:

Regular meetings of the Board shall be held monthly during the school year, the time to be fixed by the Board at its first meeting of the year. Special meetings of the Board may be called by the President or by a majority of the members of the Board, subject to reasonable notice to all Board members.
Section 4 – Quorum
A majority of voting Board members shall constitute a quorum.
ARTICLE VI – COORDINATORS AND COMMITTEES
Section 1 – Coordinators
The Board may create such Coordinator positions as necessary to promote the objectives and carry on the work of the Association. The term of each Coordinator shall be one year and until the selection and transition of a successor.
A- Fundraising Coordinator
The Fundraising Coordinator coordinates fundraising strategies and is responsible for most aspects of fundraising programs. Assists in the development of fundraising goals and solicits funds to meet these goals. Responsible for helping to identify new donors and organizes initiatives to solicit funding. May assist in developing major gift opportunities and writing grant proposals.
Section 2 – Committees
The Coordinators may create, and serve as chair of, committees as necessary to promote the objectives and carry on the work of their assigned function.
Section 3 – Coordinator Work Plans
The Committee Coordinators shall present a plan of work to the Board for approval. The Committee Coordinators shall have delegated authority to conduct business related to their assigned function, but no funds shall be expended without the consent of the Board.
Section 4 – President’s Committee Duties
The President shall be a member of all committees.
ARTICLE VII - PROPERTY RIGHTS
Membership in this Association shall not title or vest any of the members with any property rights or rights having monetary value of any kind whatsoever, including, but not limited to, property rights or monetary rights in the school, district, or the Association.
ARTICLE VIII - AMENDMENT
These by-laws shall be approved by a meeting of the regularly called general membership, by a majority vote of those members eligible to vote and actually casting their vote at said meeting. The by-laws may be amended by a two-thirds vote of the members present at any regularly called general membership meetings. Such amendments may only be recommended by the Board, and shall be presented in writing and may be read at the regular meeting prior to the time of voting.
ARTICLE IX - RELATIONSHIP WITH MCSI FACULTY AND PRINCIPAL
The Association operates to support the MCSI faculty, students, and school principal. The Association does not seek to become directly involved in day to day academic operations of the school or MCSI program. The Association seeks to work in cooperation with policies and practices established by Marshall Middle School and the Olympia School District.
ARTICLE X – DISSOLUTION
The Association may, upon a ¾ vote of the general membership, initiate a dissolution of the organization described in Article I. No later than five (5) calendar days after the dissolution vote, the President shall provide written notice to the principal who shall convene, as soon as practically possible, a meeting with the Executive Committee to plan dissolution activities. All assets of the Association shall be liquidated, and all funds and records of the organization transferred to the Marshall Community Council within 90 days of the dissolution vote.

Membership in this Association shall not title or vest any of the members with any property rights or rights having monetary value of any kind whatsoever, including, but not limited to, property rights or monetary rights in the school, district, or the Association.
ARTICLE VIII - AMENDMENT
These by-laws shall be approved by a meeting of the regularly called general membership, by a majority vote of those members eligible to vote and actually casting their vote at said meeting. The by-laws may be amended by a two-thirds vote of the members present at any regularly called general membership meetings. Such amendments may only be recommended by the Board, and shall be presented in writing and may be read at the regular meeting prior to the time of voting.
ARTICLE IX - RELATIONSHIP WITH MCSI FACULTY AND PRINCIPAL
The Association operates to support the MCSI faculty, students, and school principal. The Association does not seek to become directly involved in day to day academic operations of the school or MCSI program. The Association seeks to work in cooperation with policies and practices established by Marshall Middle School and the Olympia School District.
ARTICLE X – DISSOLUTION
The Association may, upon a ¾ vote of the general membership, initiate a dissolution of the organization described in Article I. No later than five (5) calendar days after the dissolution vote, the President shall provide written notice to the principal who shall convene, as soon as practically possible, a meeting with the Executive Committee to plan dissolution activities. All assets of the Association shall be liquidated, and all funds and records of the organization transferred to the Marshall Community Council within 90 days of the dissolution vote.
